Ownership Structure and Transaction Details

The restructuring dissolves the previous joint venture arrangement controlled by Walton Street Capital and High Pitt Gaming, making Rivers Enterprise the casino’s sole owner and operator. This consolidation is expected to streamline management and improve operational efficiency.
The deal values the enterprise at $991 million, financed through $600 million of privately placed notes with a 6.25% annual interest rate, along with a revolving credit facility and the rollover of existing equity. Financing Structure and Collateral Measures

To support the transaction, Rivers Enterprise issued $600 million in senior secured notes in September, bearing interest at 6.25% and maturing in 2030. These notes are guaranteed by the parent company, Rivers Enterprise Intermediate, along with several subsidiaries, and are secured by substantially all assets of Rivers Enterprise and its affiliated casino entities.
Although the financing structure is complex, it appears to be strategically designed and well-secured.

Market Performance and Business Scale

Rivers Casino Pittsburgh is a major gaming destination in Pennsylvania, featuring 1,900 slot machines, 100 table games, and a 219-room hotel. In the most recent fiscal year, the casino generated $281.8 million in slot revenue (third in the state) and $73.9 million from table games (fifth in the state), plus $14.9 million from sports betting—bringing total revenue to nearly $371 million.
The Rivers brand also operates casinos in Philadelphia, Schenectady, and Portsmouth, although the Des Plaines property is not fully included due to majority ownership by Churchill Downs.
